These Terms of Service ("Terms") govern your access to and use of the COI ParseAPI service ("Service") provided by COI ParseAPI ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using the COI ParseAPI service, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not use the Service.
2. Description of Service
COI ParseAPI provides a REST API for parsing insurance Certificates of Insurance (COI) documents. The Service extracts structured data from uploaded PDF documents - including but not limited to insurance carrier information, policy numbers, coverage types, limits, effective dates, named insureds, and certificate holders.
The Service supports ACORD 25 (Certificate of Liability Insurance) and ACORD 28 (Evidence of Commercial Property Insurance) form types, and may expand to additional formats over time.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your API keys and account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized use of your account
- Keeping your account information current and accurate
We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes. The following activities are strictly prohibited:
- Illegal documents: Uploading forged, fraudulent, or illegally obtained insurance certificates
- Reverse engineering: Attempting to reverse engineer, decompile, or extract the source code, algorithms, or models underlying the Service
- Abuse: Using automated tools to overload, stress test, or disrupt the Service beyond your plan's rate limits
- Reselling: Reselling or redistributing the Service without a written reseller agreement
- Circumvention: Attempting to bypass authentication, rate limits, or access controls
- Harmful use: Using parsed data to discriminate against, harm, or defraud individuals or businesses
- Scraping: Using the Service to build a competing product or dataset
We reserve the right to suspend or terminate access for any user who violates this policy.
5. API Usage and Rate Limits
Each plan tier includes specific API rate limits and monthly document quotas. These are detailed on our Pricing page.
- Rate limits are enforced per API key on a per-minute and per-day basis
- Exceeding rate limits will result in HTTP 429 responses with retry-after headers
- Persistent rate limit violations may result in temporary or permanent suspension
- We reserve the right to adjust rate limits with reasonable notice to maintain service quality
Unused quota does not roll over between billing periods unless explicitly stated in your plan.
6. Billing and Payment
Subscription Plans
The Service is offered on a subscription basis with multiple plan tiers. Plan details, features, and pricing are listed on our Pricing page.
Usage-Based Charges
Some plans include usage-based pricing for API calls exceeding the included monthly quota. Overage charges are billed at the end of each billing cycle at the rate specified in your plan.
Early Bird Pricing
Users who sign up during our early access period may receive discounted "early bird" pricing. This pricing is locked in for the duration specified at signup (typically 12 months) and will not increase during that period. After the lock-in period ends, standard pricing applies.
Payment Terms
- Subscriptions are billed monthly or annually, depending on the plan selected
- Payment is due at the start of each billing cycle
- Failed payments will be retried for up to 7 days before the account is suspended
- Refunds are handled on a case-by-case basis. Contact us within 14 days of a charge to request a review
7. Data Ownership
Your data belongs to you. You retain full ownership of all documents you upload and all data extracted by the Service.
- We do not claim ownership of your uploaded documents or parsed results
- You grant us a limited license to process your documents solely to provide the Service
- This license terminates when you delete your data or close your account
- You can export your data at any time via the API or dashboard

8. Intellectual Property
The Service - including its software, algorithms, models, documentation, website, and branding - is the intellectual property of COI ParseAPI and is protected by copyright, trademark, and other laws.
- You may not copy, modify, or distribute any part of the Service
- You may not use our trademarks or branding without written permission
- We may use your company name and logo to identify you as a customer, unless you opt out in writing
9. Service Availability and SLA
We strive to maintain high availability for the Service. Our target uptime is 99.9% measured on a monthly basis, excluding scheduled maintenance windows.
- Scheduled maintenance: We will provide at least 48 hours advance notice for planned maintenance that may cause downtime
- Unscheduled downtime: In the event of unplanned outages, we will communicate status updates via our status page and email
- SLA credits: Enterprise plan customers may be eligible for service credits if uptime falls below the agreed threshold. Details are specified in individual Enterprise agreements
The Service is provided on a best-effort basis for non-Enterprise plans. We do not guarantee specific response times or throughput.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
- We do not warrant that parsed results will be 100% accurate. You are responsible for verifying extracted data before relying on it for business decisions
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
- Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim
- We are not responsible for losses resulting from inaccurate parsing, service outages, or data breaches caused by factors outside our reasonable control
11. Indemnification
You agree to indemnify, defend, and hold harmless COI ParseAPI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Documents you upload to the Service
- Any business decisions made based on data extracted by the Service
12. Termination
Either party may terminate the agreement:
- By you: You can cancel your subscription at any time through the dashboard. Access continues until the end of your current billing period
- By us: We may suspend or terminate your access immediately if you violate these Terms, fail to pay, or engage in activities that threaten the Service or other users
Upon termination:
- Your API keys will be deactivated
- You have 30 days to export your data before it is permanently deleted
- Outstanding payments remain due
- Sections that should survive termination (liability, indemnification, IP) will continue to apply
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service will be resolved in the state or federal courts located in Delaware.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes:
- We will update the "Last updated" date at the top of this page
- We will notify you via email at least 30 days before material changes take effect
- Continued use of the Service after the effective date constitutes acceptance of the updated Terms
If you do not agree to the updated Terms, you must stop using the Service before they take effect.
